Abstract

1. OBJETIVOS En la presente Tesis Doctoral se realiza un estudio de la invención universitaria desde una perspectiva unitaria, algo inusual en nuestra legislación y doctrina. Para seguir el iter lógico que viene dictado por el propio título de la investigación, este trabajo se estructura en tres partes en las que se abordan cinco objetivos, que se corresponden con cada uno de los capítulos que forman el grueso de la investigación. Una primera que se dedica a la generación de las invenciones; la segunda a su protección y la tercera a la transferencia de las mismas de manera voluntaria, puesto que es la que permite una cierta autofinanciación de las universidades públicas. De manera que, en primer lugar, comenzamos analizando la noción de investigación universitaria, para así poder enmarcar la invención como un resultado –aplicable– propio de la misma (Capítulo I). Seguidamente, delimitamos cuándo una invención puede ser considerada universitaria en atención al sujeto que la realiza y, con ello, su régimen aplicable (Capítulo II). A continuación, profundizamos en el régimen de titularidad de las invenciones universitarias acudiendo, para ello, a un análisis de Derecho comparado (Capítulo III). Una vez delimitadas las invenciones pertenecientes a la universidad, nos centramos en su protección por patente (Capítulo IV), para concluir en el estudio de su transferencia, con especial alusión a la licencia contractual de patente como medio de transferencia voluntaria (Capítulo V). En ambos casos, analizamos las particularidades que se presentan en el ámbito universitario. 2. METODOLOGÍA Ante el amplio abanico metodológico que ofrece el procedimiento científico de investigación jurídica, para el estudio de las invenciones universitarias se ha optado por el método de la exégesis. En concreto, y habida cuenta la especialidad del tema, se ha establecido una analogía con el modus operandi y actividades de la Oficina Europea de Patentes, y se han seguido las pautas del denominado Problem-Solution-Approach, consistente en identificar los problemas, idear una solución a los mismos y culminar con su articulación jurídica. No obstante, para el tratamiento de algunas de las cuestiones se ha recurrido al análisis económico del Derecho. 3. CONCLUSIONES Desde la perspectiva de las invenciones universitarias, el presente trabajo evidencia la inadecuada regulación dispensada por nuestro Ordenamiento a esta materia. Surge así la necesidad de articular un régimen jurídico propio en el que se ofrezcan soluciones a los diversos problemas que se plantean. Desde el punto de vista de la titularidad de la invención, tanto el sistema institucional como el relativo al privilegio del profesor ofrecen reglas atractivas. Nuestro Ordenamiento acoge el modelo de titularidad institucional pero se echa en falta una mayor presencia del profesor tanto en orden a ver patentada su invención como en su posible explotación. La condición de la universidad como titular del derecho a la patente y de patente (salvo excepciones) provoca circunstancias especiales en orden al régimen jurídico que haya de darse a la invención patentable y patentada; especialidades que no son atendidas en las leyes vigentes (patentes, ciencia y tecnología, economía sostenible y universidades). La explotación de la patente universitaria muestra también cómo la condición de la universidad como ente licenciante provoca interesantes alteraciones en el régimen del contrato tanto en sus aspectos formales -un procedimiento específico para su suscripción- como subjetivos –la necesaria colaboración del profesor- y materiales –derechos y obligaciones de las partes-.


1. OBJECTIVES The present PhD thesis aims at studying university inventions from a unitary perspective, a rather unusual approach in the Spanish legislation and doctrine. In order to follow the logic path laid out by its title, this work is divided into three parts, where five objectives are pursued, with each one corresponding to the chapters putting up the core of this research. The first one is dedicated to the generation of inventions; the second to its protection and the third one to voluntary transfer of inventions. This last part constitutes a subject which could actually provide for Spanish public universities, to the extent of granting them a certain degree of self-funding. First, an analysis of the notion of university invention is made. Indeed, establishing that notion will enable us to clarify the notion of university research, in order to label the invention as a –applied- result (Chapter I). Then, the legal regime for an invention to be regarded as a university one is examined, on the basis of the inventor subject who performs the invention, which will also lead us to applicable regime within universities (Chapter II). A deep study of the ownership regime of universities inventions is made, as a result of a previous comparative law analysis (Chapter III). Once the scope of university inventions has been sort out, its protection through patent is dealt with (Chapter IV). This thesis will culminate in the study of the transfer of knowledge to society, with further references to patent licensing agreements as means of voluntary transfer (Chapter V). In any case, the special features that come along with its university origin are paid attention to. 2. METHODOLOGY Given the wide range of methodologies stemming from legal research and its associated classic scientific procedures, the present study of university inventions has been undertaken by using the method of exegesis, more specifically, through the analogy with the modus operandi and activities of the European Patent Office, where it has followed the guidelines known as Problem-Solution-Approach. They consist of identifying problems and devising a solution for them, to be executed through legal means. However, for the treatment of some of the specific issues, this work has resorted to economic analysis of law. 3. CONCLUSIONS From the perspective of university inventions, this thesis highlights the inadequate and scattered regulation our legislature has provided this very important area with. Thus, there is an urgent need to articulate its own specific legal area, one where solutions to the various problems encountered are offered. From the point of view of the ownership of the invention, both the institutional system and that of granting privileges to the professor offer attractive legal solutions. The Spanish legal order established the model of institutional ownership but, still, it is hereby stressed that it requires a greater presence of the professor in order to have not only its invention patented but the best possible exploitation. Some exceptions aside, the condition of the university as a legal person entitled to file the patent and eventually ownership of patent gives rise to special scenarios, linked with the legal regime regulating both patentable and patented invention; these specialties have not been addressed in the existing laws (on Patents; Science, Technology and Innovation; Sustainable Economy; and, finally, Universities). The exploitation of university patent also shows how the condition of the university as licensor entity is to cause interesting changes in the regime of subsequent contracts, affecting several aspects, at formal (through specific procedure for the conclusion of the agreements), subjective (those of the professor´s cooperation) and material aspects (namely, rights and obligations for the parties).
